1. Company Information

2. Eligibility

The general poker calculator portion of the Application may be used by individuals of any age.

However, to register for an account, create a profile, subscribe, purchase paid features, receive persistent tokens, earn account-based reward credits, or use any account-based feature, you must be at least thirteen (13) years of age.

If you are under the age of majority in your jurisdiction, you may use the Application only with the consent and supervision of a parent or legal guardian. By allowing a minor to use the Application, the parent or legal guardian agrees to these Terms on behalf of the minor and is responsible for the minor’s use of the Application.

You may not create an account if you are under thirteen (13) years of age. We do not knowingly permit account registration by children under thirteen (13).

3. Nature of the Application

The Application is a poker calculator, analysis, simulation, and educational tool. It may provide features such as:

• Poker odds calculations;
• Hand equity calculations;
• Range analysis;
• Poker hand simulations;
• Statistical outputs;
• Strategy-related educational information;
• Token-based or usage-limited calculator functionality;
• Free and paid account features.

The Application is provided for informational, educational, analytical, research, and entertainment purposes only.

We do not guarantee that any calculation, simulation, recommendation, probability, hand ranking, equity estimate, or other output generated by the Application is accurate, complete, current, suitable, or reliable for any specific purpose.

You are solely responsible for independently verifying any information before relying on it.

4. No Gambling, Financial, Legal, or Professional Advice

The Application does not provide gambling advice, financial advice, investment advice, legal advice, tax advice, or professional gaming advice.

Nothing in the Application should be interpreted as a recommendation to gamble, wager, enter a contest, participate in a tournament, play poker for money, make a financial decision, or take any particular action.

Poker, gaming, and gambling activities can involve substantial risk, including the loss of money, property, account privileges, tournament eligibility, or other assets. Any decision you make based on information provided by the Application is made entirely at your own risk.

5. User Responsibility

You are solely responsible for:

Your use of the Application;

Any poker, gaming, gambling, wagering, tournament, or financial decisions you make;

Any losses, damages, liabilities, penalties, account suspensions, disqualifications, bans, forfeitures, or other consequences arising from your use of the Application;

Ensuring your use of the Application complies with all applicable laws, regulations, rules, terms, and policies;

Ensuring that your use of the Application is permitted in your location and in any poker-related environment where you use it.

You agree not to use the Application for any unlawful, deceptive, abusive, fraudulent, or unauthorized purpose.

6. Compliance with Third-Party Rules and No Cheating

The Application is a general-purpose poker analysis and educational tool. It is not designed or intended to help users cheat, collude, violate platform rules, or gain an unauthorized advantage in any poker room, casino, cardroom, online poker platform, tournament, league, club, game, or other gaming environment.

You are solely responsible for determining whether your use of the Application complies with the rules, terms of service, tournament rules, house rules, platform policies, fair-play policies, anti-cheating policies, or other restrictions imposed by any third party.

Westside Software Group does not represent or warrant that use of the Application is permitted by any particular poker site, casino, tournament organizer, gaming operator, cardroom, league, club, or other third party.

You agree that you will not use the Application:

• To cheat or facilitate cheating;
• To collude with other players;
• To violate the rules of any poker site, casino, cardroom, tournament, league, club, or platform;
• To bypass technical controls or anti-cheating systems;
• To use real-time assistance where prohibited;
• To automate play or decision-making where prohibited;
• To violate any applicable law, regulation, or third-party policy.

Westside Software Group is not responsible for any penalties, account suspensions, account closures, bans, disqualifications, confiscations, forfeitures, financial losses, reputational harm, or other consequences arising from your use or misuse of the Application.

7. Accounts

Certain features may require you to create an account.

When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You agree to notify us promptly if you believe your account has been accessed without authorization.

We may suspend, restrict, or terminate your account at any time if we believe you have violated these Terms, misused the Application, provided false information, engaged in fraudulent activity, attempted to manipulate tokens or rewards, violated third-party rules, or created risk for Westside Software Group or other users.

8. Free Tier

The Application may offer a free tier. The free tier may include limited access to features, limited calculator usage, limited tokens, advertisements, reduced functionality, usage caps, rate limits, or other restrictions.

We may modify, expand, reduce, suspend, or discontinue the free tier at any time without liability.

Access to the free tier does not guarantee continued availability of any specific feature, token allocation, calculation capacity, reward opportunity, or service level.

9. Paid Subscriptions

The Application may offer paid monthly and annual subscriptions.

By purchasing a paid subscription, you authorize Westside Software Group and its payment processor, Stripe, to charge your selected payment method for the subscription fees, applicable taxes, and any other charges disclosed at checkout.

Subscriptions may provide access to premium features, increased token allocations, reduced advertising, advanced calculations, or other benefits described at the time of purchase.

Subscription features and pricing may vary by plan, promotion, region, user type, or billing period.

10. Automatic Renewal

Paid subscriptions automatically renew unless canceled before the renewal date.

Monthly subscriptions renew on a monthly basis. Annual subscriptions renew on an annual basis.

By purchasing a subscription, you authorize recurring charges to your payment method until you cancel the subscription or we terminate it.

You are responsible for canceling your subscription before the renewal date if you do not want to be charged for the next billing period.

Cancellation will generally take effect at the end of the then-current billing period, unless otherwise stated. You may continue to have access to paid features until the end of the paid billing period.

11. Subscription Cancellation

Canceling a subscription prevents future renewal charges but does not entitle you to a refund, credit, or prorated reimbursement for the current billing period, except where required by law.

We are not responsible for your failure to cancel before a renewal date.

12. No Refunds

All purchases are final.

Subscription fees, token purchases, premium feature purchases, account upgrades, add-ons, and other digital purchases are non-refundable and non-creditable, except where required by applicable law or expressly stated in a written offer from Westside Software Group.

We do not provide refunds or prorated credits for:

• Partial subscription periods;
• Unused tokens;
• Unused account credits;
• Failure to use the Application;
• Failure to cancel before renewal;
• Account suspension or termination due to violation of these Terms;
• Dissatisfaction with Application outputs;
• Changes to features, plans, or pricing;
• Losses resulting from poker, gaming, gambling, wagering, or third-party platform activity.

13. Failed Payments and Taxes

If your payment method fails, expires, is declined, or is otherwise unavailable, we may suspend, downgrade, restrict, or terminate access to paid features.

You are responsible for maintaining accurate billing information.

Prices may exclude taxes unless otherwise stated. You are responsible for any applicable taxes, duties, levies, or governmental charges associated with your purchase, except for taxes based on our income.

14. Price and Plan Changes

We may change subscription pricing, token pricing, plan features, free-tier limits, token allocations, or other commercial terms at any time.

For existing paid subscriptions, pricing changes will generally take effect at the next renewal period unless otherwise disclosed or required by law.

Continued use of the Application after a pricing or plan change takes effect constitutes acceptance of the updated pricing or plan terms.

15. Tokens, Reward Credits, and Usage Credits

The Application may use tokens, credits, reward credits, usage credits, calculation credits, or similar digital units (collectively, “Tokens”) to access or meter certain features.

Tokens may be included with free accounts, paid subscriptions, promotional offers, account bonuses, ad-viewing rewards, purchased packages, or other programs.

Tokens are not money, currency, cryptocurrency, stored value, gift cards, securities, financial instruments, or property. Tokens have no cash value and may not be redeemed for cash or monetary value.

Tokens are a limited, revocable, non-exclusive license to access certain Application features while your account remains active and in good standing.

Tokens are non-transferable, non-refundable, non-exchangeable, and may not be sold, traded, gifted, assigned, brokered, or transferred except as expressly permitted by Westside Software Group.

16. Ad-Earned Tokens and Reward Offers

Free-tier or registered users may be offered the ability to earn additional Tokens by watching advertisements, interacting with sponsored content, completing eligible reward offers, or participating in other promotional activities.

Reward availability is not guaranteed. Rewards may vary by user, device, location, account status, inventory, ad provider, campaign, or other factors.

You are not guaranteed to receive Tokens for every advertisement viewed or offer attempted. Token awards may depend on successful completion, third-party verification, fraud screening, technical availability, ad network confirmation, and compliance with these Terms.

You agree not to:

Use bots, scripts, automation, emulators, farms, VPN manipulation, proxy manipulation, device spoofing, or other deceptive methods to obtain Tokens;

Repeatedly create accounts to obtain promotional Tokens;

Manipulate ad views or reward systems;

Interfere with third-party ad networks or tracking systems;

Claim Tokens through fraudulent or abusive behavior.

We may deny, reverse, reduce, expire, suspend, or revoke Tokens if we believe they were earned, obtained, or used improperly.

Third-party advertisers and ad networks are independent third parties. We are not responsible for third-party advertisements, claims, offers, content, data practices, tracking technologies, failures, reward determinations, or disputes.

17. Token Expiration and Modification

We may establish limits, expiration periods, caps, conversion rates, earning rates, usage rates, or other rules for Tokens.

Tokens may expire, be reduced, or be revoked if:

• Your account is inactive;
• Your account is terminated or suspended;
• Tokens were awarded in error;
• Tokens were obtained through fraud or abuse;
• A promotion ends;
• A subscription expires or is canceled;
• The Application, feature, or token system is modified or discontinued;
• Applicable law, technical requirements, or business needs require modification.

We may modify, replace, reprice, revalue, suspend, or discontinue Tokens or token-based features at any time without liability.

18. Acceptable Use

You agree not to:

• Use the Application for unlawful purposes;
• Violate any applicable gaming, gambling, wagering, privacy, intellectual property, consumer protection, export, or other law;
• Reverse engineer, decompile, disassemble, scrape, crawl, copy, or extract the Application except as permitted by law;
• Use the Application to develop a competing product;
• Interfere with or disrupt the Application;
• Circumvent rate limits, token limits, access controls, security measures, or payment systems;
• Use bots, scripts, automation, or other non-human access methods without permission;
• Upload, transmit, or submit malicious code;
• Attempt unauthorized access to any system, account, database, API, or network;
• Misrepresent your identity or affiliation;
• Harass, threaten, abuse, defame, or harm others;
• Submit illegal, infringing, obscene, defamatory, or harmful content;
• Use the Application in a way that creates legal, regulatory, reputational, or operational risk for Westside Software Group.

19. User Content

The Application may allow you to submit, upload, save, process, or share information, including poker hands, hand histories, ranges, notes, comments, profile information, feedback, support messages, or other materials (“User Content”).

You retain ownership of your User Content, subject to the rights granted in these Terms.

By submitting User Content, you grant Westside Software Group a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, process, reproduce, display, modify, analyze, transmit, and use your User Content as necessary to operate, provide, improve, secure, troubleshoot, and promote the Application.

You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate any law, third-party right, platform rule, confidentiality obligation, or contractual restriction.

We may remove or restrict User Content at any time.

20. Feedback

If you provide suggestions, ideas, feature requests, bug reports, improvements, or other feedback, you grant Westside Software Group the unrestricted right to use, modify, implement, commercialize, and exploit that feedback without compensation or obligation to you.

21. Intellectual Property

The Application, including all software, source code, object code, algorithms, databases, designs, interfaces, graphics, logos, trademarks, trade names, service marks, content, calculations, simulations, workflows, documentation, and other materials, is owned by or licensed to Westside Software Group and is protected by intellectual property and other laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, adapt, translate, distribute, sell, license, rent, lease, publicly display, publicly perform, reverse engineer, create derivative works from, or otherwise exploit any part of the Application.

No rights are granted to you except for the limited right to use the Application in accordance with these Terms.

22. Third-Party Services

The Application may use or integrate with third-party services, including Stripe, analytics providers, hosting providers, advertising networks, reward providers, authentication providers, email providers, cloud infrastructure providers, and other vendors.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, third-party content, third-party data practices, third-party failures, or third-party disputes.

Your use of third-party services is at your own risk.

23. Advertising

The Application may display advertisements, sponsored content, affiliate links, promotional offers, or other third-party commercial content.

Advertisements do not constitute our endorsement of any advertiser, product, service, promotion, claim, or offer.

We are not responsible for third-party advertisements or for any transaction, communication, claim, dispute, loss, or damage arising from your interaction with advertisers.

24. Privacy

Your use of the Application is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Application, you consent to the collection, use, disclosure, and processing of information as described in the Privacy Policy.

25. Electronic Communications

By using the Application or creating an account, you consent to receive electronic communications from us, including notices, account messages, billing notices, subscription notices, support communications, security alerts, policy updates, and other transactional or administrative messages.

Electronic communications satisfy any legal requirement that such communications be in writing.

You may opt out of marketing communications, but you may still receive transactional, account, billing, legal, and security communications.

26. Copyright Infringement and DMCA Notices

If you believe that content available through the Application infringes your copyright, you may submit a notice to our copyright contact.

Your notice should include:

Your physical or electronic signature;

Identification of the copyrighted work claimed to have been infringed;

Identification of the material claimed to be infringing and information reasonably sufficient to locate it;

Your contact information;

A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;

A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

If we remove content in response to a copyright notice, we may notify the user who submitted the content and provide an opportunity to submit a counter-notice where appropriate.

Submitting false or misleading copyright notices may result in liability.

27. Suspension and Termination

We may suspend, restrict, downgrade, or terminate your access to the Application at any time, with or without notice, if we believe:

• You violated these Terms;
• You violated applicable law;
• You misused the Application;
• You engaged in fraud, abuse, automation, scraping, or unauthorized access;
• You manipulated Tokens, advertisements, rewards, payments, subscriptions, or account systems;
• Your use creates risk for Westside Software Group, other users, third parties, or the Application;
• We are required to do so by law, payment processor requirements, platform requirements, or third-party provider requirements.

Upon termination, your right to use the Application will cease immediately. Tokens, account credits, subscription benefits, and access rights may be forfeited without refund, except where required by law.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations.

28. Application Availability and Changes

We may modify, update, suspend, discontinue, or restrict any part of the Application at any time without liability.

We do not guarantee that the Application will be available, uninterrupted, secure, error-free, or compatible with any particular device, browser, platform, network, or jurisdiction.

We may perform maintenance, updates, or emergency repairs without notice.

29. Disclaimers

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESTSIDE SOFTWARE GROUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

• THE APPLICATION WILL MEET YOUR REQUIREMENTS;
• THE APPLICATION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• CALCULATIONS, SIMULATIONS, ODDS, EQUITIES, OR OUTPUTS WILL BE ACCURATE;
• ERRORS WILL BE CORRECTED;
• THE APPLICATION WILL BE FREE OF VIRUSES OR HARMFUL COMPONENTS;
• USE OF THE APPLICATION WILL BE PERMITTED BY ANY THIRD-PARTY POKER SITE, CASINO, CARDROOM, TOURNAMENT, PLATFORM, OR ORGANIZATION;
• USE OF THE APPLICATION WILL PRODUCE ANY PARTICULAR POKER, GAMING, FINANCIAL, OR COMPETITIVE RESULT.

YOUR USE OF THE APPLICATION IS ENTIRELY AT YOUR OWN RISK.

30. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESTSIDE SOFTWARE GROUP AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST WAGERINGS, LOST OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, ACCOUNT SUSPENSION, TOURNAMENT DISQUALIFICATION, PLATFORM BAN, FORFEITED WINNINGS, PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER LOSSES ARISING OUT OF OR RELATED TO THE APPLICATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF WESTSIDE SOFTWARE GROUP ARISING OUT OF OR RELATED TO THE APPLICATION OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

A. THE AMOUNT YOU PAID TO WESTSIDE SOFTWARE GROUP FOR USE OF THE APPLICATION DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

B. ONE HUNDRED U.S. DOLLARS ($100.00).

THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE, EVEN IF WESTSIDE SOFTWARE GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

31. Indemnification

You agree to defend, indemnify, and hold harmless Westside Software Group and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, service providers, successors, and assigns from and against any claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use or misuse of the Application;

Your violation of these Terms;

Your violation of applicable law;

Your violation of any third-party right;

Your User Content;

Your poker, gaming, gambling, wagering, tournament, or platform activity;

Any action taken against you by a poker site, casino, cardroom, tournament organizer, gaming operator, league, club, platform, payment processor, advertiser, or other third party;

Your misuse of Tokens, advertisements, rewards, subscriptions, or payment systems;

Your fraud, negligence, misconduct, or unauthorized activity.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

32. Informal Dispute Resolution

Before filing arbitration or any legal proceeding, you and Westside Software Group agree to attempt to resolve disputes informally.

A party seeking to raise a dispute must send written notice to the other party describing the dispute, the requested relief, and relevant contact information.

Notices to Westside Software Group must be sent to:

The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after notice is received.

33. Binding Arbitration

Except for disputes that qualify for small claims court or claims seeking injunctive relief for intellectual property misuse, you and Westside Software Group agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Application, your account, subscriptions, Tokens, billing, privacy, advertising rewards, or any relationship between you and Westside Software Group will be resolved by binding individual arbitration.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, unless the parties agree otherwise. If AAA is unavailable or unwilling to administer the arbitration, the parties will mutually select another arbitration provider or request that a court appoint one.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

The arbitration may be conducted remotely, by video conference, by telephone, through written submissions, or in another manner determined by the arbitrator. If an in-person hearing is required, it will take place in Wyoming unless applicable law requires another location.

The arbitrator will have authority to award the same individual relief that a court could award, subject to these Terms.

34. Arbitration Opt-Out

Your opt-out notice must include your name, account email address if applicable, and a clear statement that you wish to opt out of arbitration.

Opting out of arbitration does not affect any other provision of these Terms.

35. Class Action Waiver

YOU AND WESTSIDE SOFTWARE GROUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WESTSIDE SOFTWARE GROUP WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR MASS ARBITRATION.

The arbitrator may not consolidate claims of multiple users or preside over any class, collective, consolidated, representative, or mass proceeding unless both parties agree in writing.

If this class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief may be severed and brought in court, while all remaining claims must be arbitrated.

36. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WESTSIDE SOFTWARE GROUP KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE APPLICATION.

37. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement.

For any dispute not subject to arbitration, you and Westside Software Group agree to the exclusive jurisdiction and venue of the state or federal courts located in Wyoming.

You consent to personal jurisdiction in those courts.

38. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim arising out of or relating to these Terms or the Application must be filed within one (1) year after the claim arose. Otherwise, the claim is permanently barred.

39. Force Majeure

Westside Software Group will not be liable for any delay, failure, interruption, or inability to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet failures, hosting failures, cyberattacks, utility failures, payment processor failures, government actions, legal changes, supply interruptions, third-party service failures, epidemics, pandemics, or other events beyond our reasonable control.

40. Export and Sanctions Compliance

You may not use the Application in violation of applicable export control, sanctions, or trade laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions and that you are not listed on any prohibited or restricted party list.

41. Changes to These Terms

We may modify these Terms at any time.

When we make material changes, we may provide notice through the Application, by email, or by updating the “Last Updated” date.

Continued use of the Application after updated Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Application and cancel any subscription before the next renewal date.

42. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent.

We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, corporate transaction, or by operation of law.

43. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid, illegal, or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable.

44. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

45. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Westside Software Group regarding the Application and supersede all prior or contemporaneous agreements, communications, and understandings.
